Terms of Service

These Terms of Service ("Terms") govern your access to and use of Actual Magic ("the Service"), provided by Actual Magic, Inc. ("Actual Magic," "we," "us"). By creating an account or using the Service, you agree to these Terms.

The short version. You can use Actual Magic for the websites and properties you own or are authorized to manage. Our Google Search Console access is read-only. We draft content for your approval — we never publish on your behalf. Don't use the Service to spam, deceive, or break the law. Subscriptions are monthly; cancel anytime. We provide the Service "as is" with no guarantees of search rankings.

1. Definitions

Account: the credentials and data record associated with your use of the Service.
Customer Data: data you submit, upload, or authorize the Service to access on your behalf, including data accessed via the Google Search Console API.
Subscription: a paid plan giving you access to features for a billing period.

2. Account and eligibility

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

3. Authorization to act on your behalf

When you connect Google Search Console or another property to the Service, you represent that you own the property or are authorized to act on behalf of the owner. Our Search Console access is read-only. The Service drafts content for your review; you control whether and when it goes live.

4. Acceptable use

You agree not to use the Service to:

Submit, generate, or publish content that is illegal, defamatory, deceptive, or violates the policies of platforms we integrate with.
Misrepresent yourself, your business, or another business.
Bypass rate limits, security features, or access controls.
Use the Service to compete with Actual Magic or to build a substantially similar product.
Take any action prohibited by Google's API or User Data policies, including any conduct that would violate the Limited Use restrictions.

We may suspend or terminate accounts that violate this section.

5. Read-only Google access; drafts, never auto-publish

Our Google Search Console access is read-only — the Service never writes to, modifies, or deletes anything in your Search Console account. The Service generates content drafts for your review and approval; we never publish on your behalf without your explicit per-action confirmation. You are responsible for the content you choose to publish.

6. Subscriptions, billing, and cancellation

Subscriptions are billed in advance on a monthly or annual cadence in US dollars.
Fees are non-refundable except where required by law or stated in writing by us.
You can cancel at any time from your account settings or by emailing support@actualmagic.ai. Cancellation takes effect at the end of the current billing period.
We may change pricing with at least 30 days' notice; changes take effect at your next renewal.

7. Customer Data and our rights

You retain ownership of Customer Data. You grant us a limited license to host, process, and display Customer Data as necessary to provide the Service. We do not sell or share Customer Data, and we do not use Google API user data to train generalized AI models. See our Privacy Policy for details on data handling, retention, and deletion.

8. Intellectual property

The Service, including software, design, text, and trademarks, is owned by Actual Magic. These Terms do not grant you any rights to our trademarks or branding except as needed to identify the Service. Drafts and outputs generated by the Service from your inputs are yours to use, subject to your compliance with these Terms.

9. Service availability and changes

We aim to keep the Service available and reliable, but we do not promise uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice when practical.

10. No guarantees of search rankings

Search and AI-search outcomes are determined by third-party systems (Google, OpenAI, Anthropic, Perplexity, others) and depend on factors outside our control. We do not guarantee specific rankings, traffic, citations, or business results.

11. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, Actual Magic's total liability for any claim arising out of or related to the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenues, or data.

13. Indemnity

You agree to indemnify and hold Actual Magic harmless from claims arising out of (a) your Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) your unauthorized use of third-party properties connected to the Service.

14. Termination

You may terminate at any time by closing your account. We may terminate or suspend your account for material breach of these Terms or for legal, security, or operational reasons. On termination, your access ends and we delete Customer Data per our Privacy Policy.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes will be brought in the state or federal courts located in Delaware, except where prohibited by law.

16. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Continued use of the Service after the effective date of the change constitutes acceptance.
